Karakteristikat kryesore<\/strong><\/p>\n\n\n\n<p>Karakteristika kryesore q\u00eb i t\u00ebrheq afarist\u00ebt dhe investitor\u00ebt te kjo form\u00eb shoq\u00ebrie \u00ebsht\u00eb fakti se <strong>ortak\u00ebt nuk mund t\u00eb mbahen p\u00ebrgjegj\u00ebs p\u00ebr borxhet dhe veprimet e shoq\u00ebris\u00eb<\/strong>. LLC-ja themelohet me <strong>akt themelimi n\u00eb form\u00ebn e nj\u00eb marr\u00ebveshjeje me shkrim<\/strong> nd\u00ebrmjet themeluesve. LLC-ja n\u00eb pron\u00ebsi t\u00eb nj\u00eb ortaku t\u00eb vet\u00ebm themelohet me <strong>deklarat\u00eb themelimi<\/strong>.<\/p>\n\n\n\n<p><strong>Kapitali minimal themeltar i nj\u00eb LLC-je \u00ebsht\u00eb 5.000,00 EUR.<\/strong> Kapitali themeltar mund t\u00eb kontribuohet n\u00eb shoq\u00ebri n\u00eb form\u00eb parash, sendesh t\u00eb luajtshme, pasurish t\u00eb paluajtshme ose cilitdo kombinim t\u00eb k\u00ebtyre formave. Nj\u00eb ve\u00e7ori e r\u00ebnd\u00ebsishme e LLC-s\u00eb n\u00eb Republik\u00ebn e Maqedonis\u00eb s\u00eb Veriut \u00ebsht\u00eb se <strong>kapitali themeltar nuk duhet t\u00eb paguhet n\u00eb \u00e7astin e themelimit t\u00eb shoq\u00ebris\u00eb.<\/strong> Ai mund t\u00eb paguhet brenda nj\u00eb viti nga data e themelimit.<\/p>\n\n\n\n<p>\u00cbsht\u00eb e r\u00ebnd\u00ebsishme t\u00eb p\u00ebrmendet se ndryshimet e vitit 2021 n\u00eb Ligjin p\u00ebr Shoq\u00ebrit\u00eb Tregtare <strong>fut\u00ebn<\/strong> <strong>t\u00eb ashtuquajtur\u00ebn shoq\u00ebri t\u00eb thjeshtuar me p\u00ebrgjegj\u00ebsi t\u00eb kufizuar<\/strong>, si n\u00ebnlloj t\u00eb LLC-s\u00eb standarde. Karakteristika kryesore e k\u00ebtij n\u00ebnlloji \u00ebsht\u00eb se <strong>kapitali minimal themeltar k\u00ebtu \u00ebsht\u00eb 1 EUR<\/strong>. Megjithat\u00eb, investitor\u00ebt duhet ta din\u00eb se kjo shoq\u00ebri e thjeshtuar me p\u00ebrgjegj\u00ebsi t\u00eb kufizuar <strong>shoq\u00ebrohet me disa kufizime n\u00eb form\u00ebn e rezervave minimale dhe t\u00eb ngjashme.<\/strong><\/p>\n\n\n\n<p><strong>II. Ortak\u00ebt n\u00eb nj\u00eb LLC<\/strong><\/p>\n\n\n\n<p>LLC-ja mund t\u00eb themelohet dhe t\u00eb jet\u00eb n\u00eb pron\u00ebsi t\u00eb nj\u00eb <strong>personi fizik ose personi juridik<\/strong>, si shoq\u00ebri tregtare, korporat\u00eb, shoqat\u00eb etj. Numri i ortak\u00ebve t\u00eb saj mund t\u00eb <strong>ndryshoj\u00eb nga nj\u00eb deri n\u00eb pes\u00ebdhjet\u00eb ortak\u00eb<\/strong>. Nuk ka kufizime p\u00ebr pron\u00ebsin\u00eb e pjes\u00ebve nga investitor\u00ebt e huaj. N\u00eb fakt, kjo nxitet fuqish\u00ebm nga rregullimi vendor, sepse ortak\u00ebt e huaj n\u00eb shoq\u00ebrit\u00eb vendase kan\u00eb <strong>trajtim t\u00eb favorsh\u00ebm lidhur me procedurat e q\u00ebndrimit n\u00eb Republik\u00ebn e Maqedonis\u00eb s\u00eb Veriut.<\/strong><\/p>\n\n\n\n<p>Secili ortak fiton nj\u00eb pjes\u00eb n\u00eb shoq\u00ebri, e cila p\u00ebrcaktohet me marr\u00ebveshje nd\u00ebrmjet ortak\u00ebve ose, n\u00eb munges\u00eb t\u00eb saj, sipas madh\u00ebsis\u00eb s\u00eb investimit n\u00eb shoq\u00ebri. Pjes\u00ebt mund t\u00eb jen\u00eb t\u00eb madh\u00ebsive t\u00eb ndryshme, por <strong>nj\u00eb pjes\u00eb individuale nuk mund t\u00eb jet\u00eb m\u00eb e vog\u00ebl se 100 EUR<\/strong> dhe secila pjes\u00eb duhet t\u00eb jet\u00eb e pjes\u00ebtueshme me 100. <strong>Madh\u00ebsia e pjes\u00ebs zakonisht i p\u00ebrcakton t\u00eb drejtat e r\u00ebnd\u00ebsishme t\u00eb ortak\u00ebve<\/strong>, si t\u00eb drejtat e votimit, t\u00eb drejtat mbi fitimin dhe t\u00eb drejtat mbi pasurin\u00eb e mbetur t\u00eb shoq\u00ebris\u00eb n\u00eb rast likuidimi. Megjithat\u00eb, me aktin themelues <strong>ortak\u00ebt mund t\u00eb p\u00ebrcaktojn\u00eb rregullime t\u00eb ndryshme.<\/strong> Pjes\u00ebt mund t\u00eb <strong>blihen dhe shiten leht\u00eb<\/strong> nd\u00ebrmjet ortak\u00ebve, nd\u00ebrsa mund t&#8217;u shiten edhe personave q\u00eb nuk jan\u00eb ortak\u00eb, por n\u00eb raste t\u00eb tilla ortak\u00ebt ekzistues kan\u00eb t\u00eb drejta t\u00eb caktuara p\u00ebrpar\u00ebsie. Gjithashtu, <strong>pjes\u00ebt mund t\u00eb trash\u00ebgohen lirisht<\/strong> n\u00eb Republik\u00ebn e Maqedonis\u00eb s\u00eb Veriut.<\/p>\n\n\n\n<p>Ortak\u00ebt i marrin vendimet e tyre n\u00eb <strong>mbledhje t\u00eb ortak\u00ebve ose me korrespondenc\u00eb<\/strong> (p.sh. em\u00ebrimi i menaxhmentit, rritja ose zvog\u00eblimi i kapitalit themeltar, ndryshimi i aktit themelues, vendimi p\u00ebr shp\u00ebrndarjen e fitimit ose miratimi i veprimeve t\u00eb caktuara). Mbledhja e ortak\u00ebve i merr vendimet me <strong>shumic\u00ebn e pjes\u00ebve t\u00eb p\u00ebrfaq\u00ebsuara n\u00eb mbledhje<\/strong>. Megjithat\u00eb, p\u00ebr vendime t\u00eb caktuara Ligji p\u00ebr Shoq\u00ebrit\u00eb Tregtare parashikon shumic\u00eb m\u00eb t\u00eb lart\u00eb. Me aktin themelues, <strong>ortak\u00ebt mund t\u00eb p\u00ebrcaktojn\u00eb shumica m\u00eb t\u00eb larta se ato t\u00eb parashikuara me ligj.<\/strong><\/p>\n\n\n\n<p><strong>III. Menaxhimi dhe mbik\u00ebqyrja<\/strong><\/p>\n\n\n\n<p>Shoq\u00ebrit\u00eb me p\u00ebrgjegj\u00ebsi t\u00eb kufizuar mund t\u00eb <strong>menaxhohen nga nj\u00eb ose m\u00eb shum\u00eb drejtor\u00eb<\/strong>. T\u00eb drejtat dhe detyrimet e tyre p\u00ebrcaktohen me ligj, por me aktin themelues ortak\u00ebt mund t\u00eb vendosin <strong>rregullime t\u00eb posa\u00e7me, p\u00ebrfshir\u00eb kufizimin e autorizimeve t\u00eb drejtorit<\/strong>. K\u00ebto kufizime regjistrohen n\u00eb Regjistrin Qendror dhe jan\u00eb t\u00eb disponueshme publikisht, prandaj jan\u00eb detyruese p\u00ebr k\u00ebdo q\u00eb vepron me shoq\u00ebrin\u00eb. Kur shoq\u00ebria ka tre ose m\u00eb shum\u00eb drejtor\u00eb, me aktin themelues mund t\u00eb formohet nj\u00eb k\u00ebshill drejtues p\u00ebr ta udh\u00ebhequr veprimtarin\u00eb e shoq\u00ebris\u00eb.<\/p>\n\n\n\n<p>Ortak\u00ebt mund t\u00eb zgjedhin ta ushtrojn\u00eb <strong>mbik\u00ebqyrjen e veprimtaris\u00eb s\u00eb shoq\u00ebris\u00eb duke em\u00ebruar nj\u00eb kontrollues ose k\u00ebshill mbik\u00ebqyr\u00ebs<\/strong>, i cili duhet t\u00eb p\u00ebrb\u00ebhet nga s\u00eb paku tre an\u00ebtar\u00eb. N\u00ebse me aktin themelues nuk \u00ebsht\u00eb caktuar kontrollues ose mbik\u00ebqyrje, at\u00ebher\u00eb ortak\u00ebt mund ta mbik\u00ebqyrin bashk\u00ebrisht ose individualisht shoq\u00ebrin\u00eb duke k\u00ebrkuar informacione, duke urdh\u00ebruar auditim ose duke i kontrolluar librat e shoq\u00ebris\u00eb.<\/p>\n\n\n\n<p><strong>IV. Mekanizmat p\u00ebr mbrojtjen e t\u00eb drejtave t\u00eb ortak\u00ebve<\/strong><\/p>\n\n\n\n<p>Ligji p\u00ebrfshin mekanizma t\u00eb ndrysh\u00ebm p\u00ebrmes t\u00eb cil\u00ebve \u00e7do <strong>ortak mund t&#8217;i mbroj\u00eb t\u00eb drejtat dhe interesat e veta<\/strong> <strong><em>vis-\u00e0-vis<\/em><\/strong> <strong>ortak\u00ebve t\u00eb tjer\u00eb ose menaxhmentit.<\/strong> Mekanizmat kryesor\u00eb jan\u00eb: qasja n\u00eb t\u00eb dh\u00ebna dhe dokumente, garantimi i s\u00eb drejt\u00ebs s\u00eb vot\u00ebs dhe e drejta p\u00ebr t\u00eb filluar shqyrtim gjyq\u00ebsor t\u00eb vendimeve t\u00eb kuvendit t\u00eb ortak\u00ebve.<\/p>\n\n\n\n<p>E drejta vendase parashikon edhe <strong>mekanizma t\u00eb caktuar p\u00ebr mbrojtjen e t\u00eb drejtave t\u00eb ortak\u00ebve t\u00eb pakic\u00ebs n\u00eb Republik\u00ebn e Maqedonis\u00eb s\u00eb Veriut<\/strong>. <strong>Ortak\u00eb t\u00eb pakic\u00ebs<\/strong> konsiderohen personat fizik\u00eb ose juridik\u00eb, pjesa e t\u00eb cil\u00ebve n\u00eb kapitalin e p\u00ebrgjithsh\u00ebm themeltar <strong>nuk kalon 10%<\/strong>.
